1. Acceptance of Terms

By creating an account or using the Toolbox Gamez mobile application ("App"), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the App.

2. Services Provided

Toolbox Gamez delivers weekly toolbox talks and safety content based on current industry practices, evolving regulations, and real-world scenarios. Our material is regularly reviewed to reflect relevant updates in the construction safety field. Users can participate in games, earn points, and compete with coworkers.

3. Account Registration

To access the App, you must create an account using your name and a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account.

Organizational Accounts and Administrator Rights:

If you are part of a company or team plan, your account may be managed by an organization administrator. Administrators may have the ability to:

● Create or deactivate user accounts within their organization

● Assign training modules or games

● View usage and performance data of team members

It is the responsibility of the subscribing company to ensure all managed users comply with these Terms and with any internal safety or training policies. Toolbox Gamez LLC is not liable for how employers use, interpret, or act on employee performance data collected through the App.

4. Subscription, Payment, and Refund Policy

Toolbox Gamez operates on a monthly subscription model per user. Payments are securely processed through Stripe.

Third-Party Payment Processing:

All payment transactions are securely processed through Stripe, a third-party payment processor. Toolbox Gamez LLC does not store, process, or have access to your full credit card

number, security code, or billing details. When you enter payment information, it is transmitted directly to Stripe over a secure, encrypted connection.

Invoice Billing (Business Accounts):
For company or enterprise subscriptions billed by invoice, payment terms will be specified on the invoice and are typically due within thirty (30) days of the invoice date unless otherwise agreed in writing. Toolbox Gamez LLC reserves the right to suspend or terminate access to the App for accounts with past-due balances. Late payments may be subject to reasonable collection costs and applicable interest as permitted by law.

Promotions and Trial Periods:

Toolbox Gamez may offer free trials or promotional pricing from time to time. These offers are subject to change or discontinuation at any time, with or without notice. Any changes will not affect subscriptions already activated but may apply to future users or renewals.

Refund Eligibility:

● You may request a full refund within 14 days of your initial payment, provided you have not accessed any premium content (e.g., toolbox talks, games, or training modules).

● If you have accessed premium content, the subscription is considered used and no refund will be issued.

● Business/team subscriptions are non-refundable unless otherwise agreed in writing or required by law.

● Content or training purchases are final and non-refundable once access is granted.

● If the app is unavailable due to a system-wide issue for more than 72 consecutive hours, you may request a pro-rated refund. Requests must be made within 7 days of the issue.

Third-Party Platform Purchases:

If you purchased your subscription via a third-party platform (such as the Apple App Store or Google Play), you must request refunds directly through that platform, according to their refund policies.

Cancellation Policy:

You may cancel your subscription at any time. Your subscription will remain active until the end of the current billing cycle. No partial refunds are issued for unused time. To cancel or request support, contact us at support@toolboxgamez.com.

5. User Conduct

You agree not to:

● Use hate speech or abusive language

● Spam or harass others

● Attempt to hack, reverse engineer, or disrupt the App

Violations may result in immediate account termination without notice or refund.

6. The Den – Internal Company Communication Feature

The Toolbox Gamez App may include an internal communication or social feature known as “The Den.” The Den is a private, organization-restricted feature available only to users associated with the same subscribing company.

Content shared within The Den is not public and is intended solely for internal company communication related to safety, training, announcements, or organizational engagement.

Only designated manager or administrator accounts may create, post, or distribute content within The Den. Standard user accounts may view content as permitted by their organization but may not post unless explicitly authorized.

Each subscribing company is solely responsible for the content shared within The Den, including ensuring compliance with applicable laws, workplace policies, and internal standards. Toolbox Gamez LLC does not pre-screen, approve, or actively monitor content posted by organizations.

Toolbox Gamez LLC reserves the right, but not the obligation, to remove content or suspend access to The Den if content violates these Terms, poses legal or safety risk, or threatens the integrity of the App.

7. User-Generated Content

Content created, uploaded, or shared by users or administrators within the App, including content posted in The Den, constitutes User-Generated Content (“UGC”).

Users and organizations retain ownership of their UGC. By submitting UGC through the App, you grant Toolbox Gamez LLC a limited, non-exclusive, royalty-free license to host, store, display, and process such content solely for the purpose of operating and improving the App and providing services to the subscribing organization.

Toolbox Gamez LLC does not claim ownership of UGC and does not use such content for marketing or promotional purposes without explicit permission.

We reserve the right to remove, restrict, or disable access to UGC at any time if it violates these Terms, applicable law, or creates operational or legal risk. We are under no obligation to retain UGC indefinitely.

8. Age Restrictions

Toolbox Gamez is intended for adult users. While there is no strict age requirement, it is designed for users 18 and older due to its use in workplace environments.

9. Data Collection & Privacy

We collect names, emails, and usage data to enhance functionality and analytics. We also use third-party services such as Firebase, Mixpanel, and Stripe to support analytics, authentication, and payments. These tools may collect device-level and performance data. By using the App, you agree to the terms and privacy policies of those third-party providers.

10. Availability & Support

The App is currently available on iOS and Android platforms. Web access will be offered in the future. Some content may include embedded YouTube videos. These are governed by YouTube’s Terms of Service and Google’s Privacy Policy.

11. Intellectual Property and Content License

All content made available through the Toolbox Gamez App, including but not limited to safety talks, games, graphics, text, logo, and software, is the property of Toolbox Gamez LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

By using the App, Toolbox Gamez LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the content solely for educational purposes within your organization.

You may not:

● Copy, reproduce, or distribute content

● Use it for commercial purposes outside the App

● Reverse-engineer or modify any features or tools

All rights not expressly granted herein are reserved by Toolbox Gamez LLC.

12. Educational Use Disclaimer

The Toolbox Gamez App is intended solely as an educational aid and is not a substitute for formal safety training, certification, or compliance with federal, state, or local workplace safety regulations (including OSHA or equivalent authorities).

While the content provided is designed to support general safety awareness and reinforce best practices, it does not constitute legal, regulatory, or professional advice. Toolbox Gamez LLC does not guarantee the accuracy, completeness, or applicability of any content to specific work conditions or hazards.

It is the sole responsibility of each employer, contractor, or organization using the App to:

● Develop and enforce a comprehensive and compliant workplace safety program;

● Conduct site-specific hazard assessments and training;

● Ensure that employees receive proper instruction and supervision in accordance with applicable laws and industry standards;

● Determine whether content from Toolbox Gamez is appropriate and accurate for their specific operations.

Toolbox Gamez LLC assumes no liability for any workplace incident, injury, or loss that may occur as a result of reliance on content provided within the App. Use of the App does not imply compliance with any regulatory agency or guarantee employee competency.

13. Limitation of Liability

To the maximum extent permitted by law, Toolbox Gamez LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or workplace incidents, arising out of or related to the use of the App or its content.

In no event shall Toolbox Gamez LLC’s total liability exceed the total amount paid by the subscribing organization or user for the App during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms.

15. Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration conducted by one (1) arbitrator appointed by the American Arbitration Association. The arbitration shall take place in Cumming, Georgia, and the governing law shall be that of the State of Georgia. The arbitrator's decision shall be final and binding.

16. Governing Law

These Terms shall be governed by the laws of the State of Georgia. If any dispute cannot be resolved through arbitration, it shall be resolved in the courts located in Fulton County, Georgia. You consent to the personal jurisdiction and venue of such courts.

17. Export Compliance

You may not use or export the App in violation of U.S. export laws or any other applicable regulations.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Third-Party Platforms

These Terms are an agreement between you and Toolbox Gamez LLC, and not with Apple Inc. or Google LLC.

Apple Inc. and Google LLC are not responsible for the App or its content and have no obligation to provide maintenance or support services.

20. Changes to Terms

We may update these Terms at any time. Continued use after updates means you accept the revised Terms.
